These License Terms govern your purchase and use of the OMNI-1 source code ("OMNI-1," the "Source Code," or the "Software") from getomni1.com. By purchasing, downloading, or using OMNI-1, you agree to these terms. If you do not agree, do not download or use the Software.

OMNI-1 is owned and licensed by IT Dukes LLC. ("we," "us," the "Author"). The person or organization purchasing a license is referred to as "you" or the "Licensee."

Definitions

Source Code
the complete OMNI-1 codebase and all files delivered with your purchase, including frontend, backend, database schema, and documentation.
End Product
a finished, deployed application that you build using OMNI-1, in which the Source Code has been customized, configured, and combined with your own branding and content.
End User
a person who uses your End Product.
License
the rights granted to you under these terms, determined by the license tier you purchased (Single or Extended).

Ownership and Copyright

OMNI-1 is licensed, not sold. The Author retains all intellectual property rights, copyright, and ownership of the original Source Code. Your purchase grants you a license to use the Source Code under the terms below; it does not transfer ownership of OMNI-1 itself to you.

You own the custom code, branding, content, and modifications you add to create your End Product.

Single License — $299

Single

The Single License permits you to use OMNI-1 in one (1) End Product that is either for your own internal use or for one client project.

You may:

  • Use the Source Code to create one End Product.
  • Fully customize, modify, and extend the code.
  • White-label the End Product with your own brand, logo, name, and domain.
  • Deploy the End Product on your own infrastructure (e.g. your AWS account).
  • Charge a client a one-time fee to build and deliver the End Product to them.

You may not:

  • Charge End Users a recurring or access fee to use the End Product as a paid product (e.g. run it as a paid SaaS). For that, you need the Extended License.
  • Use the Source Code in more than one End Product.

Extended License — $999

Extended

The Extended License permits you to use OMNI-1 in End Products that you sell or monetize, and across multiple End Products.

You may (in addition to all Single License rights):

  • Build End Products where End Users pay to access or use the product (e.g. a commercial SaaS).
  • Use the Source Code across multiple End Products.
  • White-label and resell access to your End Products to your own customers.

Restrictions (Both Licenses)

Regardless of tier, you may not:

  • Resell, redistribute, sublicense, lease, or give away the OMNI-1 Source Code itself (or any substantially similar derivative) as source code, a template, a script, a boilerplate, or any product whose primary value is the code rather than a finished End Product.
  • Make the Source Code publicly available, including in any public repository, file-sharing service, or marketplace.
  • Sublicense, transfer, or sell your license to another party without our written consent.
  • Use OMNI-1 to create a product that directly competes with OMNI-1 as a source-code or template offering.
  • Remove, obscure, or alter any internal authorship notices in the original Source Code files (this does not affect your right to white-label the user-facing End Product).

One license covers one purchasing individual or organization. Separate licenses are required for separate businesses or unaffiliated parties.

White-Label Rights

Both licenses include full white-label rights for your End Product. You may replace the OMNI-1 name, logo, colors, and domain so the End Product reflects your brand. There is no required "Powered by OMNI-1" attribution in the End Product's user interface.

Updates

Your purchase includes lifetime updates to the OMNI-1 Source Code — bug fixes and new releases — at no additional cost, delivered for the life of the product. Updates are provided as-is; applying updates to a customized End Product is your responsibility.

Support

Email support is included after purchase at support@getomni1.com. We aim to respond within 1–2 business days. Support covers questions about the original Source Code and setup; it does not cover custom development, third-party services, or modifications you have made.

Refund Policy

Because OMNI-1 is delivered as downloadable source code, all sales are final once the code has been downloaded, except where the Software is materially defective and we are unable to provide a fix within [X] days. To request a refund, contact support@getomni1.com within 14 days of purchase.

Warranty Disclaimer

OMNI-1 is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or that it will meet your specific requirements.

Limitation of Liability

To the maximum extent permitted by law, the Author shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of or inability to use OMNI-1. Our total liability under these terms shall not exceed the amount you paid for your license.

Termination

This license is effective until terminated. It terminates automatically if you breach any of these terms. Upon termination, you must stop using and delete all copies of the Source Code. Sections relating to ownership, restrictions, disclaimers, and limitation of liability survive termination.

Governing Law

These terms are governed by the laws of State of Texas, United States, without regard to conflict-of-law principles. Any dispute shall be subject to the exclusive jurisdiction of the courts of Houston, Harris County, Texas, United States.

Changes to These Terms

We may update these License Terms from time to time. The version in effect at the time of your purchase governs your license. Material changes will be posted on this page with an updated "Last updated" date.
